File-Me Terms of Service

  1. Introduction

1.1. These File-Me Terms of Service (these "Terms") govern your access to and use of File-Me, our encrypted file-transfer service (the "Service"). They set out what you can expect from us and what we expect from you. Please read them carefully before uploading or sharing any files.

1.2. File-Me lets you upload files, encrypt them in your browser, and share them through time-limited, access-controlled links — or request files securely from others. By uploading, sending, or receiving a file through File-Me, or by otherwise using the Service, you agree to these Terms.

1.3. Where these Terms conflict with any other File-Me policy referenced here, these Terms prevail unless that policy expressly states otherwise. Undefined terms used here carry the meaning given in our Privacy Policy.

1.4. Our Privacy Policy explains how we process personal data in connection with your use of File-Me, including what we collect, why, and for how long we retain it.

  1. Usage Limitations and User Responsibilities

2.1. File-Me is not a party to, and assumes no obligation or liability arising from, the content of any file uploaded, sent, or received through the Service. We encrypt and transport your files; we do not review, endorse, or take responsibility for what they contain.

2.2. You acknowledge that certain content may be subject to legal restrictions — export controls, confidentiality obligations, intellectual property rights, or sector-specific data rules — depending on the applicable law and your organisation's own obligations. You are responsible for (a) determining whether a given file may lawfully be transferred through File-Me, (b) meeting any legal or regulatory requirements that apply to that transfer, (c) confirming that File-Me's security model meets any standard your organisation or counterparty requires, and (d) obtaining your own legal or compliance advice where needed. File-Me does not review, verify, or guarantee that any transfer complies with laws applicable to you, and does not provide legal advice.

2.3. You are responsible for (a) choosing who you send files to or receive files from through File-Me, (b) confirming the recipient's or sender's identity and email address before sharing a link or a decryption key, and (c) verifying that anyone you grant access to has the authority to receive that file.

2.4. You are responsible for the content, quality, format, and accuracy of any file you upload, send, or receive through File-Me.

  1. Storage and Access

3.1. File-Me stores encrypted file data and related transfer metadata in accordance with your plan's storage limits, link expiry and download-limit settings, and our Privacy Policy. Once a link expires, reaches its download limit, or is deleted, the underlying file may be permanently and irrecoverably removed.

3.2. You are responsible for backing up any files you need beyond a transfer's active window, for setting expiry and download limits appropriate to your own retention needs, and for complying with any record-keeping obligations that apply to you. We do not guarantee continued storage, availability, or recoverability of a file once its transfer has expired or been deleted.

  1. Disclaimer of Warranties

Any information we provide about File-Me's encryption model, security architecture, or suitability for a particular use case is for general informational purposes only and should not be relied on as legal or compliance advice. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES THAT USE OF FILE-ME WILL SATISFY ANY SPECIFIC REGULATORY, CONTRACTUAL, OR INDUSTRY REQUIREMENT IN ANY JURISDICTION. WE MAKE NO REPRESENTATION THAT FILE-ME IS SUITABLE FOR EVERY TYPE OF FILE OR TRANSFER, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. FILE-ME DOES NOT PROVIDE LEGAL OR COMPLIANCE ADVICE. IF YOU HAVE QUESTIONS ABOUT WHETHER FILE-ME MEETS A LEGAL, REGULATORY, OR CONTRACTUAL REQUIREMENT THAT APPLIES TO YOU, YOU SHOULD SEEK INDEPENDENT ADVICE.

Drafting note: this rewrite keeps the WeTransfer Sign document's four-part skeleton but rewrites every clause around what File-Me actually does — encrypted transfer, not e-signature — since File-Me currently has no signing feature. It's a starting structure, not a complete ToS: it doesn't yet cover acceptable use, liability caps, billing/plan terms, or termination, all of which a service with paid tiers and account data normally needs, and it hasn't been reviewed by a lawyer for your jurisdiction.
